Batman has a suit and weapons that he bought, but no powers.
Where as Spidey has super powers and, after mainly the man part of Spider Man was killed by Morlan, Tony Stark built him a technologically advanced red and gold suit that would contain the spider within while making Spidey more formidable still.
Batman's suit is similar to Ironman's but I think we all can agree the Dark Knight's is not as effective.
So if Spiderman is rolling with an Ironman-like suit he would annihilate Batman.

Batman has loads of gadgets, which come from the funding of Bruce Wayne enterprises. if Spidey did call out Batman, which he wouldnt because he is a pre-pubescent nerd, Bruce Wayne would easily formulate a plan or device to counter any of Spidermans attacks. Because he is a billionaire and his company deals in scientific research.
also one Strength of Batmans is that he is a bachelor and does not believe in involving the ones he loves. ffs he turned down elle mcpherson!. notice how Spiderman is always dashing for the ones he loves or that ditsy blonde? well thats because his a) not a responsible superhero, letting fly his personal life and the people around him , and b) his weakness is love, showing ever bit of his vulnerability. villains know him too well, where Batman keeps below the radar.

The point is - if I were a millionaire, I could be Batman too. So could melsy. Or even omni. Well, maybe not omni.
Bruce Wayne could eliminate more crime by pouring his billions of dollars into Gotham City's infrastructure and police department. A platoon of well-equipped, well-paid officers could control Gotham easily and Bruce could actually do some work and make his business more profitable in the meantime.
Peter Parker has a unique gift that only he can have. The responsibility of fighting super-crime therefore lands on his shoulders - the buck stops with him. The girl-next-door love-of-life story with MJ just adds to his conflict. What a cool backstory. And the fact that Spiderman's alter ego is a struggling photographer rather than a super-rich entrepreneur just adds to his likeability.
If they were to fight each other, I'd say it would be a fairly even contest. Batman only has so many gadgets on his utility belt, and when they run out, he is screwed. His one-liners are so poor as well. Spidey is more manouvrable and would draw Batman into an environment that would suit his web-slinging and athletic prowess and it would be game, set and match.
I do realise that Robin would meanwhile be kidnapping MaryJane, but this just goes to show that Batman is too incompetent to do things alone and likes to play with little boys in tights.

as discussed on Saturday night, if anybody had seen BATMAN BEGINS, the police force, the judges and the jury are and will always be corrupt due to mobs tryng to run the city and the underground. this is Batmans plight, to clean Gotham city his own way.
Batman has a cool storyline and background, its more believable than being bitten by a genetically enhanced super spider.
Spiderman has no friends to accompany him in battle, highlighting his status in the superhero world as a nerd.
also Spiderman is a saving superhero, whereas Batman is more combative. how many times have you seen Spiderman get into a melee with the main boss and win? he does have better competition maybe in the likes of Dr Octopus, but seriously Batman cant be defeated in combat!
and Mick, the game aint over yet.
